Acceptance of terms
These Terms of Use ("Terms") govern your access to and use of the Assured Autonomy software platform, including its applications, APIs, and related services (the "Services"), provided by Assured Autonomy Inc. ("Assured Autonomy," "we," "us," or "our"). By using the Services you ("User") accept these Terms. If you use the Services for an organization ("Customer"), you confirm that you have authority to act for that organization and to bind it to these Terms.
If you do not accept these Terms, do not access or use the Services.
Relationship to enterprise agreements
Where the Services are provided under a signed license, subscription, or order agreement between Assured Autonomy and a Customer (an "Enterprise Agreement"), the Enterprise Agreement controls if it conflicts with these Terms. These Terms apply to individual Authorized Users only to the extent they are consistent with the Enterprise Agreement.
Eligibility and authorization
"Authorized Users" are the employees, contractors, consultants, and other individuals a Customer permits to use the Services. You may use the Services only if:
- you use them solely for the Customer's internal operational and business purposes; and
- your access has not been suspended or revoked.
Accounts and security
You are responsible for:
- keeping your login credentials confidential;
- all activity carried out under your account; and
- notifying the Customer or Assured Autonomy promptly of any suspected unauthorized access.
Accounts and credentials may not be shared. Assured Autonomy may use authentication, access controls, logging, and monitoring to protect the Services.
Permitted use
Subject to these Terms and any applicable Enterprise Agreement, you may use the Services only to:
- access the features made available to you; and
- carry out the Customer's internal operational, safety, compliance, and decision-support activities.
All other uses are prohibited.
Acceptable use restrictions
You may not, directly or through others:
- reverse engineer, decompile, or otherwise attempt to obtain source code;
- bypass security measures, rate limits, or access controls;
- use the Services to build, train, or benchmark a competing product;
- scrape or extract data except as expressly allowed;
- upload content that is unlawful, infringing, malicious, or unauthorized;
- disrupt or degrade the operation of the Services; or
- misrepresent your identity, authority, or affiliation.
Assured Autonomy may investigate suspected violations and may suspend access immediately where necessary.
Customer Data and confidentiality
Customer Data belongs to, and is controlled by, the Customer. You must:
- access Customer Data only as authorized;
- keep non-public information confidential; and
- follow Customer policies and applicable law.
Misuse or unauthorized disclosure of Customer Data may lead to immediate suspension.
AI-enabled features and output
Some features of the Services use artificial intelligence or machine-learning technologies, which may include third-party providers. You understand that:
- output is generated probabilistically from the inputs provided;
- output may be inaccurate or incomplete and requires human review;
- output should not be the sole basis for any decision; and
- you are responsible for validating output before relying on it.
Assured Autonomy does not warrant the accuracy, completeness, or fitness for purpose of any AI-generated output.
Intellectual property
The Services, including all software, documentation, interfaces, and underlying technology, are owned by Assured Autonomy or its licensors and protected by intellectual property laws. No rights are granted other than those expressly stated in these Terms or an applicable Enterprise Agreement.
Obligations
Assured Autonomy's contractual obligations run only to the Customer under the applicable Enterprise Agreement. The Customer is responsible for deciding whether the Services suit its intended use and for complying with laws that apply to its Authorized Users. These Terms do not create a direct contractual obligation between Assured Autonomy and any individual Authorized User.
Monitoring and enforcement
Assured Autonomy may:
- monitor use of the Services for security, compliance, and operational purposes;
- apply usage limits and access controls; and
- suspend or terminate access for violations, legal requirements, or security risks.
Advance notice is not required where immediate action is reasonably necessary.
Suspension and termination
Your access may be suspended or terminated:
- at the Customer's request;
- when the Enterprise Agreement ends;
- if you violate these Terms; or
- for security or legal compliance reasons.
On termination you must stop using the Services immediately.
Disclaimers
THE SERVICES AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, ASSURED AUTONOMY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ASSURED AUTONOMY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO USE OF THE SERVICES.
Governing law
These Terms are governed by the laws of the State of West Virginia, without regard to its conflict-of-law rules.
Changes to these terms
Assured Autonomy may revise these Terms from time to time and will communicate material changes through the Services or other reasonable means. Continuing to use the Services after a revision takes effect means you accept the revised Terms.
